Partner Portal Terms & Conditions

1. Introduction and Acceptance

Welcome to the NetForChoice Partner Portal. These Terms and Conditions ("Agreement") govern your participation in the NetForChoice Partner Program. By registering as a partner or affiliate, you agree to be bound by these terms.

NetForChoice ("Company", "we", "us", or "our") provides cloud infrastructure, data center solutions, and managed IT services. This Agreement establishes the relationship between NetForChoice and you ("Partner", "Affiliate", or "you").

2. Partner Program Eligibility

2.1 General Requirements

To participate in the NetForChoice Partner Program, you must:

• Be a legally registered business entity with valid business credentials
• Have relevant experience in IT services, cloud solutions, or technology consulting
• Maintain good standing with all applicable regulatory authorities
• Not be in breach of any agreements with NetForChoice or its affiliates
• Comply with all applicable laws, regulations, and industry standards

2.2 Partner Types

Partners: Organizations that integrate NetForChoice solutions into their service offerings, provide implementation services, and maintain ongoing client relationships.

Affiliates: Individuals or organizations that refer potential customers to NetForChoice in exchange for commission-based compensation.

3. Partner Responsibilities

3.1 Professional Conduct

Partners agree to:

• Represent NetForChoice professionally and accurately in all communications
• Maintain expertise in NetForChoice products and services through ongoing training
• Provide accurate information about services, pricing, and capabilities
• Not make false, misleading, or exaggerated claims about NetForChoice offerings
• Respect intellectual property rights and maintain confidentiality

3.2 Marketing and Branding

• Use only approved NetForChoice marketing materials and brand assets
• Submit all custom marketing materials for review and approval
• Comply with NetForChoice brand guidelines and trademark policies
• Not alter, modify, or misuse NetForChoice logos or branding

4. Compensation and Commissions

4.1 Partner Benefits

Qualified partners receive:

• Tiered discount structure based on partnership level and sales volume
• Access to deal registration for opportunity protection
• Marketing development funds for qualified activities
• Technical training and certification programs
• Dedicated partner support resources

4.2 Affiliate Commissions

Affiliates earn commissions based on:

• Qualified referrals that result in closed sales
• Commission rates as specified in the Partner Portal
• Payment terms: Net 30 days after customer payment receipt
• Minimum payout threshold: ₹10,000 or as specified in your agreement

5. Lead and Deal Registration

5.1 Deal Registration Process

Partners may register opportunities through the Partner Portal to receive deal protection and additional benefits. Registered deals must be bona fide opportunities with identified decision-makers and defined timelines.

5.2 Deal Protection

• Approved registrations provide 90 days of deal protection
• Protection can be extended with demonstrated progress
• Conflicts will be resolved based on registration timestamp and opportunity validation

6. Confidentiality and Data Protection

6.1 Confidential Information

Partners agree to:

• Maintain confidentiality of NetForChoice proprietary information
• Protect customer data and personal information in accordance with applicable laws
• Use confidential information solely for authorized partner activities
• Return or destroy confidential materials upon termination

6.2 Data Privacy Compliance

Partners must comply with all applicable data protection laws, including but not limited to the Information Technology Act, 2000 and subsequent amendments. Partners are responsible for obtaining necessary consents and maintaining proper data security measures.

7. Intellectual Property Rights

All NetForChoice trademarks, logos, product names, and materials remain the exclusive property of NetForChoice. Partners receive a limited, non-exclusive, non-transferable license to use approved materials solely for authorized partner activities during the term of this Agreement.

8. Training and Certification

NetForChoice provides training programs and certifications to enhance partner capabilities. Partners are encouraged to complete relevant certifications to maintain program benefits and access advanced product tiers.

9. Support and Resources

9.1 Partner Support

• Access to dedicated partner success managers (tier-dependent)
• Technical pre-sales support and solution architecture assistance
• Partner Portal access for deal registration, training, and resources
• Regular product updates and roadmap briefings

9.2 Customer Support

Partners are responsible for first-level customer support. NetForChoice provides escalation support and technical assistance as outlined in the Partner Portal support documentation.

10. Term and Termination

10.1 Term

This Agreement becomes effective upon acceptance and continues for one year, automatically renewing unless either party provides 30 days' written notice of non-renewal.

10.2 Termination

Either party may terminate this Agreement:

• With 30 days' written notice for any reason
• Immediately for material breach if not cured within 15 days of written notice
• Immediately if the other party becomes insolvent or ceases business operations

10.3 Effect of Termination

Upon termination:

• Partner Portal access will be revoked
• All outstanding commissions will be processed according to normal payment terms
• Partners must cease using NetForChoice branding and materials
• Existing customer relationships may continue subject to separate agreement
• Confidentiality obligations survive termination indefinitely

11. Limitation of Liability

To the maximum extent permitted by law, NetForChoice's total liability under this Agreement shall not exceed the total commissions or benefits paid to Partner in the twelve months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

Partners agree to indemnify and hold harmless NetForChoice from any claims, damages, or expenses arising from Partner's breach of this Agreement, violation of laws, or negligent or willful acts.

13. Compliance with Laws

Partners must comply with all applicable laws and regulations, including:

• Anti-bribery and anti-corruption laws
• Export control regulations
• Data protection and privacy laws
• Tax and financial reporting requirements
• Industry-specific regulations applicable to their business

14. Non-Compete and Non-Solicitation

During the term and for twelve months following termination, Partners agree not to directly solicit NetForChoice employees for employment or competitive business opportunities without prior written consent.

15. Modifications to Terms

NetForChoice reserves the right to modify these Terms and Conditions with 30 days' notice. Continued participation in the Partner Program after the effective date constitutes acceptance of modified terms. Material changes will be communicated through the Partner Portal and email.

16. Governing Law and Dispute Resolution

16.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes arising from this Agreement shall be resolved through good faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in New Delhi, India.

17. General Provisions

17.1 Independent Contractor

Partners are independent contractors, not employees, agents, or representatives of NetForChoice. Partners have no authority to bind NetForChoice or make commitments on its behalf.

17.2 Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Partner Program and supersedes all prior agreements or understandings.

17.3 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

17.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
